Terms of Use
Last Updated: February 2025
Welcome to miracoryvia. By accessing or using our website and services, you're agreeing to follow these terms. We've tried to keep the legal stuff straightforward, but some of it has to be detailed to protect both of us.
If something doesn't make sense, reach out. We're here at Max Murray Mall, 12/20 Gordon St, Coffs Harbour NSW 2450, Australia, and you can call us on +61425361804 or email contact@miracoryvia.com.
1. Acceptance of Terms
These Terms of Use govern your relationship with miracoryvia and your use of our platform. When we say "you" or "your," we're talking about anyone who visits our site or uses our services. "We," "us," and "our" refer to miracoryvia, operating from our Australian base.
By clicking around our site, creating an account, or engaging with our resources, you're confirming you've read these terms and accept them. If you don't agree with any part, you shouldn't use our services. Simple as that.
We reserve the right to update these terms occasionally. When changes happen, we'll post the revised version here with a new date at the top. Your continued use after updates means you accept the changes.
2. User Accounts and Registration
2.1 Account Creation
Some parts of our platform require you to register. When you do, the information you provide needs to be accurate and current. If your details change, update them. Outdated information can cause problems for both of us.
You're responsible for keeping your login credentials secure. Don't share your password. If you suspect someone's accessed your account without permission, let us know immediately.
2.2 Account Responsibilities
You're accountable for everything that happens under your account. This includes actions taken by anyone you've shared your credentials with, whether intentionally or not.
- Keep your password confidential and change it regularly
- Notify us immediately if you detect unauthorized access
- Ensure all account information remains accurate
- Accept responsibility for all activities under your account
3. Permitted Use
Our platform exists to help people develop better finance awareness and make informed decisions. You're welcome to use our resources for personal educational purposes. What we provide is meant to inform, not to replace professional financial advice tailored to your specific situation.
You can browse our content, participate in educational activities, and use tools we've made available. But there are boundaries. You can't scrape our content, copy it wholesale for commercial purposes, or use it in ways that harm others or misrepresent what we offer.
Educational Purpose: Our materials are designed to build financial literacy. They're not investment recommendations or guarantees of specific outcomes. Everyone's financial situation is different, and what works for one person might not work for another.
4. Prohibited Activities
There are things you absolutely can't do with our platform. These restrictions protect the integrity of our services and other users:
- Attempting to gain unauthorized access to our systems or other users' accounts
- Uploading viruses, malware, or anything else that could harm our infrastructure
- Harassing, threatening, or impersonating other users or staff members
- Using our platform for illegal activities or to promote unlawful behavior
- Copying, reproducing, or distributing our content without explicit permission
- Interfering with or disrupting our services or servers
- Creating multiple accounts to circumvent restrictions or manipulate our systems
- Collecting information about other users without their consent
If we discover you're engaging in prohibited activities, we'll suspend or terminate your access. In serious cases, we may take legal action.
5. Intellectual Property Rights
5.1 Our Content
Everything you see on our platform belongs to us or our licensors. This includes text, graphics, logos, images, videos, software, and the overall design. It's protected by Australian and international copyright, trademark, and other intellectual property laws.
You can view and use our content for personal educational purposes, but you can't reproduce, distribute, modify, or create derivative works without our written permission. If you want to use our materials in ways beyond personal use, contact us first.
5.2 User Contributions
If you submit content to our platform—comments, feedback, questions, or anything else—you're granting us a non-exclusive, royalty-free, perpetual license to use, modify, and distribute that content. We need this flexibility to incorporate user feedback into improving our services.
You promise that anything you submit is yours to share and doesn't violate anyone else's rights. Don't post copyrighted material you don't own or confidential information you shouldn't be sharing.
6. Privacy and Data Protection
We collect and use personal information as described in our Privacy Policy. By using our services, you consent to this collection and use. We take data protection seriously and comply with relevant Australian privacy legislation.
Your personal information helps us provide better services, communicate with you, and improve our platform. We don't sell your data to third parties. When we share information, it's with service providers who help us operate our platform, and they're bound by confidentiality agreements.
You have rights regarding your personal data. You can request access to what we hold, ask for corrections, or request deletion in certain circumstances. Contact us if you want to exercise these rights.
7. Disclaimers and Limitations
7.1 Educational Nature
Our content is educational. It's not personalized financial advice. We don't know your individual circumstances, risk tolerance, or financial goals. Before making financial decisions, consult with qualified professionals who can assess your specific situation.
We work hard to provide accurate, helpful information, but we're not responsible if you make decisions based solely on our content that don't work out for you. Financial markets change, circumstances vary, and what's accurate today might not be tomorrow.
7.2 Service Availability
We strive to keep our platform available and running smoothly, but we can't guarantee uninterrupted access. Technical issues happen. Maintenance is necessary. Sometimes things break unexpectedly.
We're not liable for any disruption to your access or any consequences that result from service interruptions. This includes loss of data, missed opportunities, or any other damages that might occur.
No Warranties: Our services are provided "as is" without warranties of any kind, either express or implied. We don't guarantee specific outcomes, accuracy of all information, or that our platform will meet all your needs.
8. Limitation of Liability
To the maximum extent permitted by Australian law, miracoryvia and its directors, employees, and affiliates won't be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
This includes but isn't limited to loss of profits, data, opportunities, or goodwill, whether based on warranty, contract, tort, or any other legal theory, even if we've been advised of the possibility of such damages.
Some jurisdictions don't allow limitation of certain damages, so some of these limitations might not apply to you. In such cases, our liability is limited to the fullest extent permitted by applicable law.
If we are found liable for any reason, our total liability won't exceed the amount you've paid us in the twelve months before the event giving rise to liability, or one hundred Australian dollars, whichever is greater.
9. Indemnification
You agree to defend, indemnify, and hold harmless miracoryvia, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your violation of these Terms of Use
- Your violation of any rights of another person or entity
- Your use or misuse of our services
- Any content you submit or post through our platform
This means if your actions cause legal problems for us, you're responsible for covering the costs and damages. We'll notify you of any such claims and may, at our discretion, participate in the defense.
10. Third-Party Links and Services
Our platform might contain links to third-party websites or services that aren't owned or controlled by miracoryvia. We provide these links for convenience, but we don't endorse or assume responsibility for the content, privacy policies, or practices of any third-party sites.
When you leave our platform, you're subject to the terms and policies of those other sites. We recommend reading their terms and privacy policies before engaging with them.
We're not liable for any harm or damages related to your use of third-party services accessed through our platform. Use them at your own risk.
11. Termination
11.1 Termination by Us
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice. This might happen if you violate these terms, engage in prohibited activities, or for other reasons at our discretion.
If we terminate your account for cause, you're not entitled to any refund of fees paid. We might also take steps to prevent you from creating new accounts.
11.2 Termination by You
You can stop using our services at any time. If you want to formally close your account, contact us and we'll process your request. Keep in mind that certain information might be retained as required by law or for legitimate business purposes.
11.3 Effect of Termination
Upon termination, your right to access and use our services immediately ceases. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Dispute Resolution
If a dispute arises between us, we'd prefer to resolve it informally first. Contact us with your concern, and we'll work in good faith to find a solution.
If we can't resolve the dispute informally within sixty days, either party may pursue formal dispute resolution. These terms are governed by the laws of New South Wales, Australia, and you agree to submit to the exclusive jurisdiction of the courts located in New South Wales.
Before initiating any legal proceedings, we both agree to attempt mediation through a mutually agreed mediator in Coffs Harbour or Sydney. The costs of mediation will be shared equally unless otherwise agreed.
13. Changes to Services
We're constantly working to improve our platform. This means features might change, new ones might be added, and occasionally things might be removed. We'll do our best to notify users of significant changes, but we're not obligated to maintain any particular feature or functionality.
We might also change pricing structures, add new fee-based services, or modify existing offerings. When significant changes occur, we'll provide reasonable notice before they take effect.
14. General Provisions
14.1 Entire Agreement
These Terms of Use, together with our Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and miracoryvia regarding your use of our services.
14.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the rest of these terms remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these terms won't be considered a waiver of those rights. Any waiver of any provision will only be effective if it's in writing and signed by an authorized representative of miracoryvia.
14.4 Assignment
You can't assign or transfer these terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction, including to any affiliate or in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We're not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
15. Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any guarantee, warranty, term, condition, right, or remedy implied or imposed by the Australian Consumer Law or any other law that can't lawfully be excluded, restricted, or modified.
To the extent we're able to limit our liability, we limit our liability to resupplying the services or paying the cost of having the services resupplied, at our option.
